The buyer acknowledges that this is a used system. § 2 Purchase Price The purchase price is negotiable. VAT is deductible. § 3 Collection The buyer undertakes to dismantle the system at the seller's location, namely the site, at his own expense and responsibility. The dismantling of the system will take place at a time agreed upon between the parties, at least in writing. The agreed time must be chosen so as not to disrupt the seller's general business operations. The seller will grant the buyer access to the premises to dismantle the system, provided that all safety and access regulations of the seller are observed by the buyer. The risk of accidental loss shall pass to the buyer upon handover at the site. Handover shall take place at the latest when the buyer begins to dismantle the system independently. § 4 Warranty and Liability The buyer purchases the system as seen. The seller excludes any warranty or liability, regardless of the legal nature of the asserted claim, unless a guarantee has been given for the quality of the goods or a defect has been fraudulently concealed. This exclusion does not apply to claims for damages – regardless of the legal basis – if the seller, its legal representatives, or vicarious agents have breached their obligations through gross negligence or intent, nor to the mandatory liability without fault, e.g., under the Product Liability Act. § 5 Retention of Title Ownership of the contractual items remains with the seller until the purchase price has been paid in full.
